Job Qualifications:

  • Candidate must possess at least a Bachelor's/College Degree in Law or equivalent.
  • At least 5 years of experience in Corporate Legal Counsel in business environment position.
  • Excellent knowledge and understanding of corporate Philippine law and procedures
  • Demonstrated ability to create legal defensive or proactive strategies
  • High degree of professional ethics and integrity
  • Sound judgement and ability to analyze situations and information
  • Outstanding communication skills
  • Preferably CPA Tax Lawyer or with specialization on PH tax
  • Graduate of law or Professional degree in law
  • Full-Time position(s) available.

 

Job Description:

1. Provide Legal Guidance

  • Provides legal counsel and guidance to the organization. This includes the following but not limited to:
    • Best practices for legal compliance
    • Input on business decisions and contract negotiations
    • Accurate and timely counsel on varied legal topics such as Philippine labor laws, partnerships, contracts, corporate finance (funding sources, capital structuring, and investment decisions), real estate transactions, tax matters, insurance matters etc
    • Provide effective legal risk management techniques and offer proactive advise on possible legal issues
    • Legal strategies for litigation and other legal activities

2. Represent the Company

  • The legal counsel represents the company during negotiations, hearings and trials. He negotiates on the company’s behalf.
    • Handle and manage judicial and administrative proceedings including corporate legal disputes, collection cases, claims and negotiations with external parties (regulators, clients, external counsel, public authority etc), while creating relations of trust
    • Negotiate settlement terms as approved by Management
    • Coordination with external counsels on legal strategies for hearings and trials.

3. Conduct Legal Research

  • Reviews, researches, interprets, and prepares both written and oral opinions on a wide variety of legal issues.
  • Research and evaluate different risk factors regarding business decisions and operations.

4. Draft Legal Correspondence

  • Drafts and solidify documents related to legal activities, which can include statements, contracts, agreements or other legal documents to ensure the Company’s full legal rights .
    • Ensures that the agreements are readable and enforceable and that they represent Company’s best interests.
    • Send legal letters on behalf of the Company including collection letters
    • Reviews contracts/Service Agreements, leases, and other legal documents; researches legal issues and recommends revisions as necessary.

5. Ensure Compliance

  • Ensures that the Company complies with Philippine laws and guidelines related to our business and other activities. This includes overseeing of permits.
  • Anticipate changing laws and codes that the company may not be aware of and take action to ensure that it does not violate the prescribed laws

6. Legal Database Management

  • Ensure that the legal documents are kept confidential, safely, and digitally.  This includes restricting access to only those with authority

7. Corporate Secretary

  • Serve as corporate secretary for the Company
